香港的离岸公司不能直接经营，香港公司注册后如果要在内地挂牌经营必须需要进行再登记。
可以设立代表处或是设立中外合资企业。关于离岸公司注册及外商公司代表处的设立更多参考：在内地从事经营活动，只能作为国外的进口商从内地采购货物。

香港公司在华设立代表处需要你准备的材料如下：
1、房产权利人身份证明复印件（公司需加盖公章）；
   ID copy of house-owner (If company, need stamped)
2、租赁合同原件一式两份(如权利人或承租人是境外人需办理租赁合同备案)；
   Original documents in duplicate of lease contract (foreigner should put on records for lease contract)
3、首席代表简历及一寸彩照两张；
   Resume for Chief Representative and two one inch photographs (color)
4、首席代表身份证明复印件
   ID copy of Chief Representative
5、开业证明公证认证书原件；
    Original opening certificate notarization
6、资信证明原件；
    Original credibility certificate
7、涉外证明：a.外经委给大楼的涉外证明复印件；
Foreign-related certificate:  a, copy of the building’s foreign-related certificate from commission of foreign trade and economic cooperation
                    b.物业给企业驻在证明原件；
              b, house-owner ‘s certificate for certify the enterprise was located.
8、首代如是大陆人需同上海外服机构签订劳务合同；
      If the chief representative belong to main land of China, should sign personal services contact with Shanghai Foreign Service Company.
